IMPORTANT NOTICE — PLEASE READ CAREFULLY
THESE TERMS AND CONDITIONS ("TERMS") CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND AEYEHOME, INC. ("AEYEHOME," "COMPANY," "WE," "US," OR "OUR"). BY ACCESSING, REGISTERING FOR, OR USING THE AEYEHOME PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY.
THESE TERMS CONTAIN MANDATORY ARBITRATION PROVISIONS, A CLASS-ACTION WAIVER, A JURY TRIAL WAIVER, SIGNIFICANT LIMITATIONS ON LIABILITY, BROAD INDEMNIFICATION OBLIGATIONS, AND EXPLICIT DISCLAIMERS OF WARRANTIES AND GUARANTEES. IF YOU DO NOT AGREE TO ALL PROVISIONS OF THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL ACCESS TO AND USE OF THE PLATFORM.
THE AEYEHOME PLATFORM IS AN ENTERPRISE SOFTWARE SERVICE DESIGNED FOR SOPHISTICATED USERS AND HOUSEHOLDS. THESE TERMS ARE NOT CONSUMER TERMS AND DO NOT CREATE CONSUMER PROTECTIONS, IMPLIED WARRANTIES, OR DUTIES OF CARE BEYOND THOSE EXPRESSLY STATED HEREIN.
SECTION 1: DEFINITIONS AND INTERPRETATION
1.1 Definitions
For purposes of these Terms, the following definitions shall apply:
"Administrator" means the individual designated by a Household as the primary account holder with authority to invite, manage, and remove Users, configure Platform settings, establish permissions, and bind the Household to these Terms and any supplemental agreements.
"Advisor" means any third-party professional, consultant, fiduciary, attorney, accountant, financial planner, family office representative, or other service provider whose information is stored on, or who is granted access to, the Platform by a Household or Administrator.
"Affiliated Parties" means AEyeHome's past, present, and future parents, subsidiaries, affiliates, officers, directors, shareholders, members, managers, employees, agents, representatives, attorneys, insurers, successors, and assigns.
"AI Features" means any artificial intelligence, machine learning, natural language processing, algorithmic automation, predictive analytics, recommendation engines, or other computational intelligence capabilities incorporated into or accessible through the Platform.
"Confidential Information" means all non-public information concerning the Platform, including without limitation: source code, algorithms, architectures, workflows, user interfaces, user experience designs, feature roadmaps, security protocols, infrastructure configurations, business methods, pricing structures, client lists, and any information designated as confidential or that a reasonable person would understand to be confidential.
"Content" means all text, data, files, documents, images, photographs, videos, audio, graphics, schedules, calendars, logs, records, communications, and any other information or materials uploaded to, created within, stored on, transmitted through, or generated by the Platform.
"Data" means all information, whether structured or unstructured, processed, stored, transmitted, or generated through the Platform, including but not limited to Personal Data, Household Data, Operational Data, Location Data, and Platform Usage Data.
"Force Majeure Event" means any event beyond the reasonable control of AEyeHome, including without limitation: acts of God, natural disasters, earthquakes, floods, fires, storms, epidemics, pandemics, public health emergencies, war, terrorism, civil unrest, insurrection, sabotage, cyberattacks, infrastructure failures, power outages, telecommunications failures, internet service disruptions, government actions, regulatory changes, embargoes, sanctions, strikes, labor disputes, third-party service failures, and any other circumstances beyond reasonable control.
"Household" means the family, family office, estate, trust, entity, or organizational unit that subscribes to the Platform and on whose behalf Users access and utilize the Services.
"Household Data" means all Content and Data associated with a Household account, including information about properties, staff, vendors, advisors, schedules, operations, security configurations, and any other information pertaining to the Household's use of the Platform.
"Intellectual Property" means all patents, copyrights, trademarks, service marks, trade names, trade secrets, know-how, methodologies, processes, algorithms, software, code, databases, user interfaces, user experience designs, workflows, documentation, and all other intellectual property rights, whether registered or unregistered, and all applications and registrations therefor.
"Location Data" means any information that identifies, relates to, or could be used to determine the geographic location of any person, property, asset, or activity, including addresses, GPS coordinates, travel itineraries, movement patterns, and geolocation metadata.
"Personal Data" means any information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, to an identifiable natural person, including but not limited to names, identification numbers, contact information, biometric data, financial information, employment information, and any other data classified as personal information, personal data, or personally identifiable information under applicable law.
"Platform" means the AEyeHome software application, web interfaces, mobile applications, application programming interfaces (APIs), and all related technology, infrastructure, features, functionality, and services provided by AEyeHome.
"Privacy Policy" means AEyeHome's privacy policy, as amended from time to time, which is incorporated herein by reference and governs the collection, use, storage, and disclosure of Personal Data.
"Security Incident" means any actual or reasonably suspected unauthorized access to, acquisition of, disclosure of, destruction of, loss of, or alteration to Data or any component of the Platform's systems, infrastructure, or security controls.
"Services" means all services, features, functionality, and capabilities made available through the Platform, including software access, data storage, data processing, communications, integrations, and any related support or professional services.
"Staff User" means any household employee, domestic worker, estate staff, personal assistant, property manager, security personnel, or other individual employed by or providing services to a Household whose information is stored on the Platform or who is granted User access by an Administrator.
"Subscription" means the right to access and use the Platform pursuant to a paid subscription plan or enterprise agreement.
"Third-Party Provider" means any vendor, contractor, service provider, supplier, or other third party whose information is stored on the Platform or who provides services to a Household, excluding AEyeHome.
"User" means any individual who accesses or uses the Platform, including Administrators, Staff Users, Advisors, and any other authorized individuals.
"Vendor" means any Third-Party Provider who provides goods or services to a Household, including but not limited to maintenance providers, landscapers, housekeepers, caterers, contractors, and other service vendors.
1.2 Interpretation
- References to "include," "includes," and "including" shall be deemed to be followed by the phrase "without limitation."
- References to any statute, regulation, or law include all amendments, successors, and replacements thereto.
- Section headings are for convenience only and shall not affect interpretation.
- The singular includes the plural and vice versa; references to one gender include all genders.
- "Or" is not exclusive unless the context requires otherwise.
- These Terms shall not be construed against the drafter.
- All monetary amounts are in United States Dollars unless otherwise specified.
SECTION 2: ELIGIBILITY, INVITATION-ONLY ACCESS, AND ACCOUNT RESPONSIBILITY
2.1 Invitation-Only Platform
2.2 Eligibility Requirements
- You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater;
- You have the legal capacity and authority to enter into these Terms;
- If acting on behalf of a Household, entity, or organization, you have full authority to bind such Household, entity, or organization to these Terms;
- You are not located in, under the control of, or a national or resident of any country subject to United States trade sanctions or embargoes;
- You are not listed on any United States government list of prohibited or restricted parties;
- Your use of the Platform will not violate any applicable law, regulation, or these Terms; and
- All information you provide in connection with registration and use of the Platform is accurate, current, and complete.
2.3 Administrator Designation and Authority
- All actions taken under the Household account and all associated User accounts;
- Inviting, managing, and removing Users;
- Establishing and enforcing access permissions and controls;
- Ensuring all Users comply with these Terms;
- Responding to AEyeHome communications and notices;
- Designating successor Administrators; and
- Binding the Household to these Terms, amendments, and supplemental agreements.
2.4 Household-Level Responsibility and Liability Aggregation
- All Content uploaded, stored, or transmitted through the Household account, including Content submitted by Staff Users through the Staff Portal;
- All access permissions granted and their consequences;
- All actions taken by Staff Users, Advisors, and other authorized Users, regardless of which portal was used;
- Promptly revoking access for any User who is no longer authorized, including terminated or reassigned Staff Users;
- Any unauthorized access resulting from failure to maintain adequate security credentials;
- Any claims, damages, or liabilities arising from the Household's use of the Platform;
- Compliance with all applicable laws, including employment laws, privacy laws, and regulations governing the Household's operations; and
- All fees, charges, and payment obligations associated with the Household account.

SECTION 3: NATURE OF THE SERVICE — NO FIDUCIARY, EMPLOYMENT, SECURITY, ADVISORY, OR SPECIAL RELATIONSHIP
3.1 Software Platform Only
- A security company, security service provider, security monitoring service, alarm company, or physical security provider;
- An employer, joint employer, co-employer, staffing agency, employment agency, or professional employer organization;
- A household manager, estate manager, concierge service, or property management company;
- A financial advisor, investment advisor, wealth manager, fiduciary, or financial services provider;
- A legal advisor, law firm, attorney, or legal services provider;
- An insurance provider, broker, or advisor;
- A background check provider, verification service, or vetting service;
- A crisis management service, emergency response provider, or first responder;
- A childcare provider, eldercare provider, healthcare provider, or medical service;
- A contractor, vendor, or service provider performing work for the Household; or
- A fiduciary, trustee, agent, or representative of any User or Household.

3.5 Financial Features — Record-Keeping Only
- Accounting, bookkeeping, or auditing services;
- Tax preparation, tax advisory, or tax compliance services;
- Financial advisory, investment advisory, or wealth management services;
- Banking, payment processing, or funds transfer services; or
- Insurance, risk management, or actuarial services.
SECTION 4: EXPLICIT NON-RELIANCE AND NO LIFE-SAFETY GUARANTEE
4.1 Absolute Disclaimer of Life-Safety and Security Guarantees
- Personal Safety: The safety, security, or physical well-being of any individual, including Users, family members, Staff Users, guests, or any other person;
- Property Security: The security, protection, or safety of any property, residence, estate, asset, or belonging;
- Security Outcomes: The prevention, detection, deterrence, or mitigation of any crime, theft, intrusion, trespass, fraud, violence, harm, emergency, or security incident;
- Emergency Response: Response times, availability, or effectiveness of emergency services, security personnel, or first responders;
- Staff Conduct: The conduct, behavior, reliability, trustworthiness, competence, or actions of any Staff User, Vendor, Advisor, or third party;
- Operational Outcomes: The success, accuracy, timeliness, or outcomes of any household operation, task, schedule, or activity;
- System Availability: Uninterrupted, error-free, or continuous Platform availability or performance; or
- Data Integrity: The accuracy, completeness, timeliness, or integrity of any Data or Content.
4.2 Non-Reliance Acknowledgment
- You are not relying on AEyeHome to provide security, protection, monitoring, or emergency response;
- You are not relying on the Platform to prevent, detect, or respond to any crime, emergency, or safety threat;
- You are not relying on the Platform to ensure the trustworthiness, reliability, or conduct of any individual;
- You are solely responsible for the physical security of your persons, properties, and assets;
- You are solely responsible for vetting, supervising, and managing all Staff Users, Vendors, and Advisors;
- You must independently verify all information before relying on it for any purpose;
- Platform failures, errors, outages, or inaccuracies may occur and you accept all associated risks; and
- You assume all risks associated with use of the Platform and any decisions or actions taken based on Platform information or functionality.

SECTION 5: STAFF, VENDOR, AND ADVISOR DISCLAIMER
5.1 No Vetting or Verification
- Conduct or verify background checks, criminal history checks, or reference checks;
- Verify employment history, credentials, qualifications, licenses, or certifications;
- Verify immigration status, work authorization, or legal status;
- Assess character, trustworthiness, reliability, or suitability;
- Verify insurance coverage, bonding, or financial responsibility;
- Interview, evaluate, or assess any individual's competence or fitness;
- Monitor or supervise the work, conduct, or performance of any individual; or
- Provide recommendations regarding hiring, retention, or termination.
5.2 Household Sole Responsibility
- All hiring, employment, and engagement decisions regarding Staff Users, Vendors, and Advisors;
- Conducting background checks, reference checks, and verification as deemed appropriate;
- Compliance with all applicable employment laws, labor laws, tax laws, and regulations;
- Proper classification of workers as employees or independent contractors;
- Supervision, management, and oversight of all staff and service providers;
- Termination decisions and compliance with termination requirements;
- Workplace safety and compliance with occupational health and safety requirements; and
- All employment-related obligations, including wages, benefits, taxes, and insurance.
5.3 No Liability for Third-Party Acts or Omissions
- Personal injury or death;
- Property damage, theft, or loss;
- Financial loss, fraud, or embezzlement;
- Privacy violations or unauthorized disclosures;
- Employment claims or disputes;
- Breach of confidentiality;
- Failure to perform services;
- Defective or negligent performance of services;
- Harassment, discrimination, or hostile conduct; or
- Any other harm, damage, or loss.

SECTION 6: DATA, PRIVACY, AND SECURITY ACKNOWLEDGMENT
6.1 Privacy Policy
6.2 Sensitive Nature of Data
- Despite reasonable security measures, no system is completely secure;
- Data breaches, cyberattacks, unauthorized access, and Security Incidents may occur;
- Human error, technical failures, and third-party vulnerabilities may compromise data security;
- Residual cybersecurity risk cannot be eliminated; and
- You assume all risks associated with the storage and processing of sensitive data on the Platform.
6.3 Residual Cyber Risk Acknowledgment
6.4 Administrator Data Responsibilities
- Determining what Data is uploaded to the Platform and ensuring such uploads are lawful;
- Obtaining necessary consents from individuals whose Personal Data is uploaded;
- Configuring appropriate access permissions and controls;
- Ensuring Data accuracy and updating Data as necessary;
- Responding to data subject requests regarding Personal Data; and
- Compliance with applicable data protection laws and regulations.
6.5 Data Retention and Deletion
6.6 Suspension for Security Reasons
- A Security Incident has occurred or is imminent;
- Account credentials have been compromised;
- Unauthorized access has occurred or is occurring;
- Continued access poses a risk to the Platform, other users, or third parties;
- Suspension is necessary to comply with law, regulation, or legal process; or
- Suspension is otherwise necessary to protect AEyeHome's legitimate interests.
6.7 Multi-Tenant Infrastructure
- Household Data is stored on shared infrastructure, not on dedicated, physically isolated hardware;
- AEyeHome implements commercially reasonable technical and organizational measures to maintain logical tenant isolation;
- No multi-tenant system can guarantee absolute isolation, and residual risk of cross-tenant data exposure exists in all shared infrastructure environments;
- AEyeHome is not liable for theoretical or unintentional cross-tenant data exposure absent gross negligence or willful misconduct; and
- If you require dedicated, physically isolated infrastructure, you must negotiate a separate enterprise agreement with AEyeHome.
SECTION 7: INTELLECTUAL PROPERTY AND PLATFORM PROTECTION
7.1 AEyeHome Ownership

7.3 Absolute Prohibitions
- Reverse Engineering: Reverse engineer, decompile, disassemble, decode, decrypt, or otherwise attempt to derive the source code, algorithms, data structures, or underlying ideas of the Platform or any component thereof;
- Platform Replication: Copy, replicate, reproduce, clone, or create any software, application, platform, or service that replicates, imitates, or is substantially similar to the Platform or any significant component thereof;
- Workflow and UX Copying: Copy, replicate, or imitate the Platform's user interfaces, user experience designs, workflows, navigation structures, information architecture, visual designs, or interaction patterns for use in any other product or service;
- Competitive Analysis: Access, use, or analyze the Platform for purposes of competitive intelligence, benchmarking, product development, or the creation of any competing product or service;
- AI/ML Training: Use any portion of the Platform, including its interfaces, outputs, data structures, or functionality, to train, develop, improve, or validate any artificial intelligence model, machine learning system, large language model, or other automated system, whether for internal use or any third party;
- Screenshot and Documentation Misuse: Capture, reproduce, or distribute screenshots, recordings, or documentation of the Platform for purposes of replicating features, training competitors, or any use beyond internal operational purposes;
- Feature Extraction: Extract, harvest, or scrape any features, functionality, designs, or methodologies from the Platform for use in developing other products or services;
- Unauthorized Access: Access or attempt to access any portions of the Platform, systems, or data that you are not authorized to access;
- Circumvention: Circumvent, disable, or interfere with any security, access control, copy protection, or rights management features of the Platform;
- Modification: Modify, adapt, translate, or create derivative works based on the Platform without express written authorization;
- Distribution: Distribute, license, sell, resell, lease, rent, or otherwise transfer the Platform or any rights therein to any third party;
- Framing: Frame, mirror, or embed the Platform or any portion thereof in any other website, application, or service; or
- Trademark Misuse: Use AEyeHome's trademarks, logos, or branding without express written authorization.

SECTION 8: ACCEPTABLE USE AND PROHIBITED CONDUCT
8.1 Acceptable Use
8.2 Prohibited Conduct
- Unlawful Activity: Use the Platform for any unlawful, fraudulent, deceptive, or harmful purpose;
- Harassment and Abuse: Use the Platform to harass, threaten, intimidate, stalk, abuse, or harm any individual, including Staff Users;
- Unlawful Surveillance: Use the Platform to conduct unlawful surveillance, tracking, monitoring, or invasion of privacy of any individual;
- Coercion: Use the Platform to coerce, exploit, or exert improper control over any individual;
- Staff Exploitation: Use the Platform in any manner that facilitates labor exploitation, human trafficking, forced labor, or violation of labor laws;
- Discrimination: Use the Platform in any manner that constitutes unlawful discrimination based on race, color, religion, sex, national origin, age, disability, or other protected characteristics;
- Privacy Violations: Collect, use, or disclose Personal Data in violation of applicable privacy laws or the rights of individuals;
- Malicious Code: Upload, transmit, or introduce any viruses, malware, ransomware, spyware, or other malicious code;
- System Interference: Interfere with, disrupt, or damage the Platform, servers, networks, or infrastructure;
- Unauthorized Access: Attempt to gain unauthorized access to any portion of the Platform, other User accounts, or third-party systems;
- Data Mining: Use automated means to access the Platform, collect data, or extract information except as expressly permitted;
- Impersonation: Impersonate any person or entity or misrepresent your identity or affiliation;
- False Information: Provide false, misleading, or inaccurate information;
- Intellectual Property Infringement: Upload or transmit Content that infringes the Intellectual Property rights of any third party;
- Export Violations: Access or use the Platform in violation of U.S. export control laws or regulations; or
- Terms Violations: Facilitate or encourage any third party to violate these Terms.

SECTION 9: ARTIFICIAL INTELLIGENCE AND AUTOMATION DISCLAIMERS
9.1 Nature of AI Features
- Non-Deterministic Outputs: AI Features produce non-deterministic outputs that may vary based on numerous factors and may not be reproducible;
- No Guarantee of Accuracy: AI outputs may contain errors, inaccuracies, omissions, hallucinations, biases, or inappropriate content;
- Advisory Only: All AI outputs are advisory only and are not professional advice, definitive conclusions, or actionable directives;
- Human Review Required: All AI outputs require human review, verification, and judgment before any action is taken;
- No Reliance: You shall not rely on AI outputs without independent verification;
- Continuous Evolution: AI Features may change, improve, or degrade over time without notice; and
- Inherent Limitations: AI systems have inherent limitations and may not be suitable for all use cases.

9.6 AI Acceptable Use and Abuse Prevention
- Attempt to manipulate, exploit, or circumvent AI Features through prompt injection, adversarial inputs, jailbreaking techniques, or any other method designed to override safety controls or extract unintended outputs;
- Use automated scripts, bots, or programmatic methods to interact with AI Features at scale or in a manner that exceeds normal human usage patterns;
- Use AI Features to generate content that violates applicable law, infringes third-party rights, constitutes harassment, or promotes illegal activity;
- Configure workflows or integrations that bypass the human review requirement for AI-proposed actions; or
- Rely on AI-generated outputs as the sole basis for decisions that could affect the health, safety, security, employment, or legal rights of any person.
SECTION 10: FEES, PAYMENT, SUSPENSION, AND TERMINATION
10.1 Fees
10.2 Payment Terms
- Fees are due in advance according to the applicable billing cycle;
- Payment shall be made by credit card, ACH, wire transfer, or other approved method;
- All fees are non-refundable except as expressly stated otherwise;
- AEyeHome may change fees upon notice, effective at the next renewal period;
- Late payments are subject to interest at the lesser of 1.5% per month or the maximum rate permitted by law; and
- You are responsible for all taxes, duties, and governmental charges associated with your use of the Platform.
10.3 Suspension by AEyeHome
- Payment is overdue;
- AEyeHome reasonably believes a Security Incident has occurred or is imminent;
- AEyeHome reasonably believes a violation of these Terms has occurred;
- Continued access poses a risk to the Platform, AEyeHome, other users, or third parties;
- Suspension is required to comply with law, regulation, legal process, or government order;
- AEyeHome receives a credible complaint or threat of legal action;
- Suspension is necessary to preserve evidence for investigation;
- The Household or User is or becomes the subject of criminal investigation or proceeding;
- Suspension is otherwise reasonably necessary to protect AEyeHome's legitimate interests; or
- AEyeHome determines, in its sole discretion, that suspension is appropriate.
10.4 Termination by AEyeHome
- For any reason or no reason, upon thirty (30) days' written notice;
- Immediately, without notice, for cause, including violation of these Terms;
- Immediately if required by law, regulation, or government order;
- Immediately if the Household or Administrator becomes insolvent, files for bankruptcy, or ceases operations; or
- Immediately for any reason set forth in Section 10.3.
10.5 Termination by User
10.6 Effect of Termination
- All rights and licenses granted to you shall immediately terminate;
- You shall immediately cease all use of the Platform;
- AEyeHome may delete Household Data in accordance with its data retention policies;
- You shall pay all outstanding fees within thirty (30) days;
- Provisions that by their nature should survive shall survive termination; and
- Termination shall not limit either party's accrued rights or remedies.
10.7 No Refunds Upon Termination
10.8 Data Export Upon Termination
- Data export requests must be submitted by an Administrator in writing to AEyeHome;
- AEyeHome will provide exported data in a commercially reasonable format (e.g., CSV, JSON) within a reasonable timeframe;
- AEyeHome is not obligated to provide data in any specific format, schema, or structure, or to maintain compatibility with any third-party system;
- After the Export Window has expired, AEyeHome may permanently delete all Household Data in accordance with its data retention policies;
- Residual copies of Household Data may persist in encrypted backups for up to ninety (90) days following deletion, after which they will be purged in the normal course of backup rotation; and
- AEyeHome may retain anonymized, aggregated, or de-identified data beyond the Export Window for analytical and operational purposes, as described in the Privacy Policy.
SECTION 11: INDEMNIFICATION
11.1 Indemnification by User
- Your Use: Your access to or use of the Platform;
- Content: Any Content you upload, transmit, or make available through the Platform;
- Terms Violations: Your violation of these Terms or any representation or warranty herein;
- Law Violations: Your violation of any applicable law, regulation, or third-party right;
- Staff Actions: Any act, omission, conduct, negligence, misconduct, or criminal activity of any Staff User, Vendor, Advisor, or other individual associated with your Household;
- Household Operations: Any aspect of your Household operations, management, or activities;
- Employment Claims: Any employment-related claim, including claims for wages, benefits, discrimination, harassment, wrongful termination, or violation of labor laws;
- Third-Party Claims: Any claim by any third party arising from or related to your use of the Platform;
- Data Protection: Any claim arising from your failure to comply with data protection laws or obtain necessary consents;
- Regulatory Actions: Any regulatory action, investigation, or proceeding arising from your activities; and
- Related Claims: Any other claim arising from or related to your relationship with AEyeHome or use of the Platform.

SECTION 12: LIMITATION OF LIABILITY
12.1 Disclaimer of Warranties
- Merchantability: Any implied warranty of merchantability;
- Fitness: Any implied warranty of fitness for a particular purpose;
- Non-Infringement: Any implied warranty of non-infringement;
- Accuracy: Any warranty that the Platform or any Content will be accurate, reliable, complete, or current;
- Availability: Any warranty that the Platform will be available, uninterrupted, timely, secure, or error-free;
- Results: Any warranty regarding results obtained from use of the Platform;
- Defects: Any warranty that defects will be corrected; and
- Viruses: Any warranty that the Platform is free from viruses or harmful components.
12.2 Exclusion of Damages
- Indirect Damages: Indirect, incidental, special, consequential, exemplary, or punitive damages;
- Lost Profits: Loss of profits, revenue, business, goodwill, or anticipated savings;
- Data Loss: Loss of data, Content, or information;
- Personal Injury: Personal injury or death, except to the extent caused by AEyeHome's gross negligence;
- Property Damage: Property damage, theft, or loss;
- Third-Party Conduct: Conduct of any third party, including Staff Users, Vendors, or Advisors;
- Unauthorized Access: Unauthorized access to or alteration of Data or Content;
- Service Interruption: Interruption, suspension, or termination of the Platform;
- Errors: Errors, inaccuracies, or omissions in the Platform or any Content;
- Reputational Harm: Damage to reputation, standing, or relationships;
- Emotional Distress: Emotional distress, mental anguish, or psychological harm;
- Security Incidents: Security Incidents, data breaches, or cyberattacks;
- Third-Party Services: Any third-party services, products, or integrations; or
- Related Damages: Any other damages arising from or related to these Terms or the Platform;
12.3 Aggregate Liability Cap
- The total fees actually paid by your Household to AEyeHome in the twelve (12) months immediately preceding the event giving rise to the claim; or
- One Hundred United States Dollars (US$100.00).

SECTION 13: DISPUTE RESOLUTION, ARBITRATION, CLASS-ACTION WAIVER, AND JURY TRIAL WAIVER

- Arbitration Rules: Arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures, as modified by these Terms;
- Arbitrator Selection: The arbitration shall be conducted by a single neutral arbitrator selected in accordance with JAMS rules;
- Location: Arbitration shall take place in Wilmington, Delaware, or at another location mutually agreed by the parties;
- Remote Proceedings: The arbitrator may permit telephonic, video, or other remote participation as appropriate;
- Discovery: Discovery shall be limited to the exchange of relevant documents and one deposition per side, unless the arbitrator determines that additional discovery is necessary;
- Confidentiality: The arbitration proceeding and all related documents shall be confidential;
- Award: The arbitrator shall issue a written decision explaining the essential findings and conclusions, and judgment on the award may be entered in any court of competent jurisdiction;
- Fees: Each party shall bear its own costs and attorneys' fees, except that the arbitrator may award fees and costs to the prevailing party in accordance with applicable law; and
- Governing Rules: In the event of any conflict between JAMS rules and these Terms, these Terms shall control.

SECTION 14: CONFIDENTIALITY AND PUBLIC DISCLOSURE RESTRICTIONS
14.1 Confidentiality Obligations
- Not disclose Confidential Information to any third party without AEyeHome's prior written consent;
- Use Confidential Information only as necessary to use the Platform in accordance with these Terms;
- Protect Confidential Information with at least the same degree of care used to protect your own confidential information, and in no event less than reasonable care;
- Limit access to Confidential Information to individuals who have a need to know and who are bound by confidentiality obligations; and
- Promptly notify AEyeHome of any unauthorized disclosure or use of Confidential Information.
14.2 Platform Architecture and Security
- The Platform's technical architecture, infrastructure, or implementation;
- Security measures, controls, or configurations;
- Vulnerabilities, bugs, or security issues (which should be reported to AEyeHome);
- Non-public features, functionality, or roadmap information;
- Performance benchmarks or testing results; or
- Any other non-public information about the Platform.
14.3 Media and Public Statements

- Is or becomes publicly available through no fault of yours;
- Was rightfully in your possession before disclosure by AEyeHome;
- Is rightfully received from a third party without confidentiality restrictions; or
- Is required to be disclosed by law, regulation, or legal process, provided you give AEyeHome prompt notice and cooperate with AEyeHome's efforts to seek protective treatment.

- Any other extreme or unprecedented events.
