AEyeHome shall provide you with prompt notice of any claim subject to indemnification, provided that failure to provide such notice shall not relieve you of your indemnification obligations except to the extent you are materially prejudiced. AEyeHome reserves the right to participate in the defense of any claim with counsel of its choice at its own expense. You shall not settle any claim in a manner that imposes liability or obligations on AEyeHome without AEyeHome's prior written consent.
11.3 Survival
The indemnification obligations set forth in this Section shall survive termination of these Terms indefinitely with respect to claims arising from acts or omissions occurring during the term.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AEYEHOME'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY, SHALL NOT EXCEED THE GREATER OF:
- The total fees actually paid by your Household to AEyeHome in the twelve (12) months immediately preceding the event giving rise to the claim; or
- One Hundred United States Dollars (US$100.00).
This limitation applies to all claims in the aggregate, not per incident.
12.4 Basis of the Bargain
The disclaimers, exclusions, and limitations set forth in this Section reflect a reasonable and fair allocation of risk between the parties and are a fundamental element of the basis of the bargain between you and AEyeHome. AEyeHome would not be able to provide the Platform on an economically reasonable basis without these limitations.
12.5 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, AEyeHome's liability shall be limited to the fullest extent permitted by applicable law.
12.6 No Liability for Third Parties
AEyeHome shall have no liability whatsoever for any products, services, actions, omissions, or conduct of any third party, including Vendors, Advisors, service providers, integration partners, or other third parties.

13.1 Governing Law
These Terms and all disputes arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
13.2 Mandatory Binding Arbitration
ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR THE RELATIONSHIP BETWEEN YOU AND AEYEHOME (COLLECTIVELY, "DISPUTES") SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT, except that either party may bring individual claims in small claims court if the claims qualify.

- Arbitrator Selection: The arbitration shall be conducted by a single neutral arbitrator selected in accordance with JAMS rules;
- Location: Arbitration shall take place in Wilmington, Delaware, or at another location mutually agreed by the parties;

- Governing Rules: In the event of any conflict between JAMS rules and these Terms, these Terms shall control.
13.4 Class-Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive any right to participate in a class action, class arbitration, or other representative proceeding. If for any reason this class-action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, but all other provisions of these Terms shall remain in effect.

13.7 Injunctive Relief
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of Intellectual Property rights or Confidential Information.
13.8 Exclusive Jurisdiction for Non-Arbitrable Matters
For any matters not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Wilmington, Delaware. You waive any objection based on inconvenient forum.

- Is or becomes publicly available through no fault of yours;
- Was rightfully in your possession before disclosure by AEyeHome;
- Is rightfully received from a third party without confidentiality restrictions; or

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of any other provision.
17.2 Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by AEyeHome. No failure or delay by AEyeHome in exercising any right or remedy shall constitute a waiver thereof.
